Post-Closing Woes...

As a dental practice seller, you should be celebrating.  As a dental practice buyer, you should be celebrating as well.  So why do both sides to the same transition, that on it's face looks to be very successful, seem to be stressed and woeful in the post-closing days?

Perhaps it's because the buyer has discovered some particulars about the practice that were not disclosed or apparent during the due diligence period.  Or, perhaps it is because the seller regrets not including more detail about the expectations in the post-closing relationship and their continued availability to the practice for a smooth transition - especially for the seller who is not staying on as an employee of the buyer.

Could these issues have been or be avoided?  For the most part, yes - assuming either has or both sides have a good and experienced attorney to assist them with the process.

Or, perhaps in the transition you are looking forward to as the buyer or the seller, proceeding on your own or without the best team, you will get lucky.
